Free job description Legal & Business Affairs Manager
To be a key member of the legal and business affairs team supporting Division’s Business Development function through the provision of a comprehensive legal & business affairs service, responsible for negotiating and maintaining agreements relating to key partnerships, as well as a member of the wider Legal & Business Affairs team which provides a comprehensive legal & business affairs service
. To support the priorities and agreed deliverables of the function. This service will primarily involve negotiating, drafting and assisting in the completion of deals with a wide range of partners.
1.3 To work in partnership with individual members of the Business Development team responsible for delivering partnership deals to ensure that the best possible terms are negotiated and that issues and risks are appropriately managed and flagged as appropriate.
1.4 To draft and negotiate agreements with external companies for a variety of different arrangements, service level agreements etc. Where possible, the aim should be to achieve standardised sets of terms
To highlight risks where relevant, but moreover to seek ways to mitigate risk. Working with a broad range of internal and external stakeholders to create an acceptable framework ensuring appropriate legal sign offs are obtained,
To efficiently manage a pipeline of deals to ensure timely completion of deals which will enable services to launch on time and within scope. To highlight areas where additional legal support may be required where there are competing or numerous business priorities in order to avoid project timescales being put at risk.
1.7 To advise on day to day legal matters including copyright and intellectual property, trademarks, defamation, Data Protection Act and privacy issues on the internet with reference to and involving relevant specialists in Legal as necessary.
1.8 To help maintain a comprehensive legal, contractual and rights database for all Business Development agreements within the wider team, and to provide high quality and timely management information and analyses of legal and commercial data in order to better inform strategic objectives.
1.9 To comply with Fair Trading principles in compliance with competition legislation and in accordance with Fair Trading Policy and generally to help demonstrate compliance with Fair Trading advice when working with Business Development.
4.1 To help provide a comprehensive legal & business affairs service to Division’s Business Development team.
4.2 To seek to standardise agreements and processes as far as possible (subject to business risk) by creating standard templates containing core terms in order to improve deal flow and time to market.
4.3 To draft and subsequently maintain a mixture of content and software application contracts, including both content and software licences with internal and external service providers. To anticipate key legal and contractual concerns and issues.
4.4 To identify new areas or issues emerging for which new strategies or policies need developing to protect business and legal interests and ensure that personnel have a good understanding of any new emerging business or legal risks e.g. the increasing issues relating to privacy.
4.5 To consider the likely issues and concerns of ’s business with respect to any public, commercial or editorial policies. To consult having prepared cases thoughtfully and diligently to demonstrate compliance and clear strategies for risk mitigation.
4.6 To contribute to and to operate within the strategy for the new services.
4.7 To ensure that all third party agreements are consistent with policies and guidelines.
4.8 To ensure that interests are properly maintained, throughout the negotiation and administration periods of contracts.
4.9 To ensure all necessary checks and investigations are undertaken e.g. company searches, reviews of underlying issues such as copyright.
4.10 To help maintain a comprehensive legal, contractual and rights database, and to provide high quality and timely management information and analyses of legal and commercial data in order to better inform strategic objectives.
4.11 To form effective internal and external working relationships with senior managerial and editorial and commercial policy colleagues as well as with representatives in supporting areas. .
4.12 To be aware of the full extent of any financial and/or purchasing authority vested in the post, and to ensure that this authority is exercised in accordance with financial arrangements.
5.1 A qualified lawyer with a minimum of 2 years post qualification experience likely to have been gained in private practice dealing with exposure to areas of commercial, IP and IT law and/or relevant in-house legal and business experience.
5.2 An enthusiastic and progressive approach to negotiating deals to develop positive ongoing external relationships to support ‘repeat business’ and improve deal flow.
5.3 Technology literate with an evident interest and working knowledge of relevant technologies
5.4 Sophisticated and succinct drafting skills; ability to write lucidly and concisely for a non-legal audience.
5.5 Significant experience of negotiating and maintaining complex and multi-faceted contracts

6.5 The ability to remain confident and assured in difficult circumstances, and to possess the resilience and stamina to sustain performance, particularly when under pressure.
6.6 Pro-active, versatile and flexible approach that understands the business needs and meets them.
6.7 The ability to keep abreast of professional, legal, technological and working practice changes and be motivated to convey any new such developments to as necessary.
6.8 A team player with a can-do attitude, willing to both support and guide other members of the legal team where appropriate.
